Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and SAM Smart Assistant Manager LLC ("SAM," "we," "us," or "our"), governing your access to and use of the SAM voice assistant platform available at callsam.app and related applications and services (collectively, the "Service").

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, you may not use the Service.

You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use this Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

SAM is an AI-powered voice productivity assistant designed to help professionals — primarily construction project managers and small business owners — manage their day through voice calls, task tracking, email summaries, calendar coordination, and scheduled check-ins.

Core features include:

• Inbound AI voice calls for briefings, task capture, and status updates
• Outbound scheduled calls (morning briefs, afternoon debriefs)
• SMS notifications, including voicemail alerts
• Email and calendar integration (Google Workspace, Microsoft 365)
• Action item extraction and email delivery
• Weather briefings and document generation

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, though we will make reasonable efforts to notify you of material changes.

3. Accounts and Registration

Account Creation

To use the Service, you must register for an account by providing accurate, complete, and current information, including a valid phone number and email address. You agree to keep this information up to date.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at support@callsam.app if you suspect unauthorized access to your account.

One Account Per User

Each account is for a single individual. You may not share your account with others or create multiple accounts for the same person. Enterprise or team plans with multiple seats are governed by separate agreements.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service to harass, threaten, or deceive any person
• Impersonate another person or entity in voice calls or messages
• Use SAM to place calls that violate the Telephone Consumer Protection Act (TCPA), Do Not Call regulations, or any applicable telemarketing law
• Attempt to gain unauthorized access to our systems, other users' accounts, or any related networks
• Reverse-engineer, decompile, or attempt to extract the source code of the Service
• Use automated tools or bots to access the Service in ways not expressly permitted
• Transmit malware, spam, or any harmful code through the Service
• Use the Service to facilitate illegal activity of any kind
• Resell or sublicense access to the Service without our written consent

We reserve the right to suspend or terminate accounts that violate these standards without prior notice.

5. Subscriptions and Billing

Subscription Plans

The Service is offered on a subscription basis. Plan details, pricing, and included features are described at callsam.app/pricing and are subject to change with reasonable notice.

Billing

Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. All fees are in US Dollars and are non-refundable except as described below or required by applicable law.

Free Trial

Where a free trial is offered, it will automatically convert to a paid subscription at the end of the trial period unless you cancel beforehand. We will send a reminder before the trial ends.

Cancellation

You may cancel your subscription at any time from your account settings or by contacting support. Cancellation takes effect at the end of the current billing period; you retain access through that date. We do not prorate partial months.

Failed Payments

If a payment fails, we will notify you and attempt to retry. If payment is not resolved within 7 days, your account may be suspended. Access will be restored upon successful payment.

Price Changes

We will provide at least 30 days' notice of any price increase via email, and changes will apply at your next renewal.

6. Calls and Communications

Consent to Calls and Messages

By providing your phone number and using the Service, you consent to receive voice calls and SMS messages from SAM as part of the Service you have subscribed to. This includes scheduled briefings, action item summaries, voicemail alerts, and other notifications you configure.

Call Recording and Transcription

SAM calls are transcribed and analyzed by our AI systems to provide the Service. By using SAM, you consent to this processing. You are responsible for obtaining any legally required consent from third parties who may be involved in or overheard during calls. Many states and jurisdictions require all-party consent for call recording — you are solely responsible for compliance with applicable laws in your jurisdiction.

Opt-Out

You may adjust your call schedule, disable outbound calls, or cancel your subscription at any time from your account settings. To stop all SMS messages, reply STOP to any message from SAM.

Emergency Services

7. Third-Party Services and Integrations

SAM integrates with third-party services to deliver its features. Your use of these integrations is subject to the respective providers' terms and privacy policies.

We are not responsible for the availability, accuracy, or actions of third-party services. If a third-party integration fails or is discontinued, we will make reasonable efforts to provide an alternative but cannot guarantee continuity of specific integrations.

When you connect your Google or Microsoft account, you authorize SAM to access only the scopes you approve. You may revoke this access at any time from your Google or Microsoft account settings, or from your SAM account settings.

8. Intellectual Property

Our Property

The Service, including its software, design, text, graphics, logos, and AI models, is owned by SAM Smart Assistant Manager LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of the Service without our express written consent.

Your Content

You retain ownership of content you provide to SAM, including your notes, action items, tasks, and business information shared during calls. By using the Service, you grant us a limited, non-exclusive license to process and store your content solely for the purpose of delivering the Service to you. We do not claim ownership of your data.

Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a royalty-free, perpetual license to use that feedback to improve SAM without obligation to you.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure at all times
• AI-generated summaries, action items, or briefings will be accurate, complete, or error-free
• The Service will meet your specific business requirements
• Any defects or errors will be corrected

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SAM SMART ASSISTANT MANAGER LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business
• Loss of data or failure to store or transmit data
• Costs of substitute services
• Decisions made in reliance on AI-generated content
• Missed calls, failed notifications, or scheduling errors

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for consequential damages, so some of the above may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless SAM Smart Assistant Manager LLC and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service in violation of these Terms
• Your violation of any applicable law or third-party right
• Your failure to obtain required consent for call recording in your jurisdiction
• Content or data you provide to the Service

12. Termination

By You

You may terminate your account at any time by cancelling your subscription and deleting your account from settings, or by contacting us at support@callsam.app.

By Us

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms, applicable law, or is otherwise harmful to other users, third parties, or the Service. Where feasible, we will provide notice and an opportunity to cure before termination.

Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy. Provisions that by their nature should survive termination (including Sections 8, 9, 10, 11, and 13) will remain in effect.

13. Dispute Resolution

Informal Resolution

Before filing a formal dispute, you agree to contact us at legal@callsam.app and attempt to resolve the issue informally. We will try in good faith to resolve any dispute within 30 days.

Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any legal action arising out of these Terms shall be brought exclusively in the state or federal courts located in Florida, and you consent to personal jurisdiction there.

Waiver of Class Action

To the extent permitted by law, you waive any right to bring or participate in a class action lawsuit or class-wide arbitration against SAM.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Effective" date at the top and notify you via email at least 14 days before material changes take effect. Your continued use of the Service after that date constitutes acceptance of the updated Terms.

If you do not agree with a material change, you may cancel your subscription before the change takes effect and receive a prorated refund for the unused portion of your current billing period.
